3BG is an operationally focused investment and advisory firm. We work with business owners, investors, and management teams at critical inflection points, as strategic advisors, interim operating leaders, or equity investment partners. In many relationships, we move through more than one of those roles over time.
We're operators, not consultants. Our founding partners have each spent 35+ years actually running businesses, in the CFO, CEO, COO, CRO, and CHRO chairs, not advising from the outside. We don't hand over a report and walk away. We get in the seat, take accountability for outcomes, and structure our compensation to match.
We operate as an independent sponsor, which means we don't have a fund with deployment timelines, hold period requirements, or return hurdles that force premature decisions. We can be selective, move at the right pace, find the right sources and types of capital for each situation, and commit to long-term outcomes rather than optimizing for an exit timeline.
Our sweet spot for investment partnerships is businesses with $2โ$10M in EBITDA in the lower middle market. For advisory and interim leadership engagements, we work across a broader range, the common thread is that the business has a strong core and a specific set of execution problems we know how to fix.
We bring hands-on operating experience across five sectors: Manufacturing & Logistics, Business Services, SaaS & FinTech, Real Estate, and Food Services. That said, we're not rigidly sector-exclusive, the business profile matters more than the label.
We step into the role โ CXO or Direct Report functional leader โ and operate as a full member of the leadership team, not an outside resource. We listen and assess the company needs and prepare a statement of work which often includes factors from all stages of the typical hold from professionalize, grow, restructure, and exit. Along the way we help build the permanent capability that outlasts our engagement. Between our partners and our extended network, we can fill any leadership role a company needs.
We structure compensation to match the needs of the client relationship. Advisory and equity work is results-tied, our interests are aligned with yours. Consulting engagements are fee-for-service. Interim CXO roles are structured as a subscription scoped to the hours and weeks of coverage the situation requires. We'll always be transparent about structure upfront.
Yes. Depending on the client relationship and ownership structure, we can bring board-level oversight to, or instead of, an operating role. We've served in board capacities across a range of business types and ownership situations.
No. We are control agnostic and are comfortable in minority or majority positions. What matters is that our role in execution is clearly defined and aligned to mutually desired outcomes โ not that we hold a particular ownership percentage.
It depends on the situation. Advisory work spans exit and recapitalization readiness, governance and liquidity diagnostics, financial reporting and controls improvement, strategic planning, M&A transaction support, capital structure and lender relationships, performance management, cash and covenant forecasting, and PE sponsor portfolio company support. We bring both a CFO's analytical rigor and an operator's practical judgment to every situation.
Businesses that have plateaued, not failed. The profile we look for: founder, family, or investor-owned; strong underlying product or service; a specific set of execution constraints holding back performance; and management willing to partner actively. These are businesses where our operating experience, financial discipline, and network can make a real difference to the outcome.
Yes, this is one of our core use cases. We work with PE sponsors managing underperforming or orphaned portfolio companies, providing interim operating leadership, strategic advisory support, or co-investment. We've been on both sides of these situations and can move quickly when the right opportunity presents itself.
We work well with brokers and intermediaries and respect the process. If you have a client in our target profile, $2โ$10M EBITDA, lower middle market, at a transition or inflection point, we'd like to hear about it. We'll give you a straight answer on fit quickly, and we won't waste your time or your client's.
Quickly, when the fit is right. We don't have committee structures or fund bureaucracy slowing us down. Once we've had an initial conversation and confirmed alignment, we move decisively. Our goal is to give you a clear read on whether we're a fit within the first conversation.
We are US-based with a preference for businesses East of the Rockies, operating out of Chicago, Indianapolis, and New York. However, the right situation isn't constrained by geography, we've worked with businesses across the country and will go where the opportunity warrants.
Yes. Distressed situations, financial distress, leadership gaps, lender pressure, operational breakdown, are exactly the kind of inflection points where we add great value. We've navigated cash crises, covenant defaults, and restructurings firsthand. We come in to stabilize, restore credibility, and build a path forward, not just diagnose the problem.
Yes. We work with lenders, financial institutions, CPAs, legal advisors, and other trusted participants across the M&A ecosystem. If you have a borrower or client situation that would benefit from experienced operating or financial leadership, we're a resource worth knowing.
